Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of DropZone IQ, a product of ML Software, LLC ("Company," "we," "us"), based in Castle Rock, Colorado. By creating an account or using any part of the DropZone IQ platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

The Platform

DropZone IQ provides software-as-a-service (SaaS) tools for skydiving dropzone operators, including manifest management, online booking, payment processing, check-in, and related operational features. Access is provided via web application at app.dropzoneiq.com and a customer-facing booking portal at book.dropzoneiq.com.

Operator Accounts

Dropzone operators ("DZOs") who sign up for DropZone IQ agree to the following:

• You are responsible for the accuracy of all information provided during account setup and ongoing use.
• You are solely responsible for compliance with all applicable laws and regulations governing your dropzone business, including but not limited to USPA guidelines, FAA regulations, state liability waiver requirements, and consumer protection laws.
• You are responsible for setting and enforcing your own age requirements, refund policies, and waiver requirements for your customers. DropZone IQ provides the tools to implement these policies but does not set or enforce them on your behalf.
• You must maintain an active Stripe Connect account to accept payments through the platform. Payment processing is governed by Stripe's Terms of Service.
• Account credentials are your responsibility. Do not share login access.

Platform Fees

DropZone IQ charges a monthly subscription fee based on your selected plan. Fees are billed in advance on a monthly basis.

• A platform fee of $2.00 per booking is collected at transaction time, deducted from your Stripe Connect payout.
• Subscription fees are non-refundable. There are no refunds for partial months.
• We reserve the right to change pricing with 30 days' advance notice to active account holders.
• Failure to maintain payment may result in suspension or termination of your account.

Customer Bookings

When customers book through your DropZone IQ-powered portal:

• The booking contract is between the customer and your dropzone. DropZone IQ is not a party to that agreement.
• You are responsible for your own refund and cancellation policy. DropZone IQ will enforce the policy you configure in your account settings.
• You are responsible for ensuring customers complete required waivers before participating in any jump activity.
• Chargebacks and payment disputes are handled between you, your customer, and Stripe. DropZone IQ will provide booking records upon request to assist in dispute resolution.

Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the platform or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the platform to transmit spam, malware, or harmful content
• Resell or sublicense access to the platform without written permission
• Misrepresent your identity or your dropzone's credentials

Intellectual Property

DropZone IQ, including all software, design, content, and trademarks, is the exclusive property of ML Software, LLC. Your use of the platform does not grant you any ownership rights. You retain ownership of all data you input into the platform, including customer records, booking history, and operational data.

Data and Privacy

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process customer and operator data as described in that policy.

Uptime and Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (Stripe, SmartWaiver, hosting infrastructure), or force majeure events may cause temporary unavailability. We are not liable for losses resulting from platform downtime.

Limitation of Liability

To the maximum extent permitted by law, ML Software, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use DropZone IQ. Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the fees you paid to us in the 3 months preceding the claim.

DropZone IQ is a business operations platform. We are not responsible for the safety, conduct, or outcomes of any skydiving activity. All liability related to jump operations, customer injuries, or waiver enforcement rests solely with the operator.

Indemnification

You agree to indemnify and hold harmless ML Software, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your dropzone's operations.

Termination

You may cancel your account at any time from your account settings. We reserve the right to suspend or terminate accounts that violate these Terms, fail to maintain payment, or engage in conduct harmful to the platform or other users. Upon termination, your data will be retained for 90 days and then permanently deleted, unless required by law.

Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Douglas County, Colorado.

Changes to These Terms

We may update these Terms from time to time. We will notify active account holders by email at least 14 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
